1. Who you're contracting with

These terms govern your use of WhatSun, operated by JJJ Venture Enterprises, LLC (operating as WhatSun) ("we", "us"). By creating an account or using the service you agree to these terms. If you're using WhatSun on behalf of a household or organization, you confirm you have authority to bind them.

2. The service

WhatSun is a planning and analytics tool for solar homes. It computes daily plans, analyzes utility bills via AI, and helps you optimize EV charging and home energy use. We do not guarantee uninterrupted or error-free performance, and recommendations are informational, not professional engineering or financial advice.

3. Acceptable use

You agree not to misuse the service, including by:

• using it for any unlawful purpose, fraud, or spam;
• infringing intellectual property rights;
• uploading malware, probing, scanning, or interfering with security;
• scraping, mass-extracting, or reverse-engineering the service;
• circumventing tier limits or attempting to obtain paid features without payment;
• posting harassing, hateful, threatening content, or content that exploits or endangers minors;
• impersonating others or misrepresenting affiliation with WhatSun, Tesla, your utility, or any third party;
• using the service to make safety-critical decisions for electrical, structural, or grid-interconnect work without a qualified licensed professional;
• treating AI-generated outputs (bill analysis, daily plans, recommendations) as professional engineering, legal, tax, or financial advice;
• automated or bulk access outside documented APIs, or sharing account credentials across users;
• reselling, sublicensing, or white-labeling the service or its outputs without our prior written permission.

AI-generated outputs may be inaccurate or incomplete and must be verified before you act on them, especially for any work that affects safety, code compliance, or your utility interconnection. We may suspend or terminate accounts that violate this section, immediately and without notice in cases involving fraud, security risk, or illegal content.

4. Account & content

You are responsible for keeping your credentials confidential and for activity under your account. You must provide accurate information (e.g. address, solar configuration) and keep it current. You retain ownership of content you upload (such as utility bills); you grant us a limited license to host and process it solely to provide the service.

5. Intellectual property

We retain all rights in the WhatSun software, branding, documentation, and AI outputs derived from our models. You receive a limited, non-exclusive, non-transferable right to use the service within your selected plan. No reverse engineering, resale, or redistribution.

6. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing cycles, taxes, currency conversion, cancellations, and refund mechanics are governed by Paddle's Buyer Terms.

Paid plans renew monthly until canceled. You can cancel any time from your settings; you keep access until the end of the current billing period.

7. AI features

Bill analysis, expansion advice, and accuracy reports are generated by AI and may contain errors. You are responsible for verifying outputs before acting on them and for ensuring you have the right to upload any content (e.g. utility bills). We may filter, refuse, or remove content that violates these terms.

8. Suspension and termination

We may suspend or terminate your access for material breach of these terms, non-payment, security or fraud risk, or repeated policy violations. You can delete your account at any time; we will delete or anonymize your data within a reasonable period unless retention is legally required.

9. Warranties and liability

To the fullest extent permitted by law, we disclaim all implied warranties (merchantability, fitness for a particular purpose). Our aggregate liability is limited to fees you paid in the 12 months preceding the claim. We exclude liability for indirect, consequential, or special damages (loss of profits, data, goodwill). Nothing here limits liability for fraud, death, or personal injury where prohibited by law.

10. Indemnity

You will indemnify us for third-party claims arising from your content, your unlawful use of the service, or your breach of these terms.

11. Changes

We may update these terms; material changes will be announced in-app or by email. Continued use after the effective date constitutes acceptance.

12. Governing law

These terms are governed by the laws of the seller's jurisdiction. Disputes will be resolved in the courts of that jurisdiction, except where mandatory consumer law provides otherwise.
